Terms and Conditions
1. Parties and Scope
These Terms and Conditions (the "Terms") govern access to and use of the ionsis.com website and the IONSIS cloud-based ERP and CRM platform, including its modules, mobile applications, APIs and related services (together, the "Service"). The Service is provided by Ionic Stone Maden San. ve Tic. Ltd. Şti., Pamukkale Üniversitesi Teknokent, Hüseyin Yılmaz Cd. No:67, D Blok 210-211, 20160 Denizli, Türkiye ("IONSIS", "we" or "us").
These Terms form a binding agreement between IONSIS and the legal entity or business that registers for or uses the Service (the "Customer" or "you"). Where an order form, proposal or separate written agreement signed by both parties conflicts with these Terms, that document prevails for the matters it covers.
2. Definitions
Authorized User: An employee, contractor or other person whom the Customer allows to access the Service under the Customer's account.
Customer Data: All data, records, documents and files that the Customer or its Authorized Users enter into, upload to, generate in or process through the Service, including financial, inventory, sales, purchasing, production and customer records.
Backup Function: The feature within the Service that allows the Customer to create and download a copy of its database or Customer Data.
Subscription Plan: The package, modules, user count and term selected by the Customer and set out in the order form or on the Service.
Third-Party Services: Products and services not provided by IONSIS, such as e-invoice, e-archive and e-waybill integrators, payment providers, marketplaces, banks and other integrations.
3. Acceptance and Business Use
By creating an account, clicking to accept, or using the Service, you confirm that you have read and accepted these Terms. If you accept on behalf of a company, you confirm that you have the authority to bind it.
The Service is intended solely for commercial and professional use by merchants, companies and other businesses. It is not offered to consumers. Accordingly, the Consumer Protection Law No. 6502 and its secondary legislation do not apply to the relationship between IONSIS and the Customer.
4. Accounts and Access Security
The Customer must provide accurate, complete and current registration information and keep it up to date. The Customer is responsible for:
- creating Authorized User accounts and assigning roles and permissions appropriately;
- keeping all usernames, passwords, API keys and other credentials confidential;
- using strong, unique passwords and enabling multi-factor authentication where the Service offers it;
- promptly removing access for Authorized Users who leave the Customer's organization or no longer need access; and
- all activity carried out under its account, whether or not authorized by the Customer.
The Customer must notify IONSIS immediately at bilgi@ionsis.com if it suspects any unauthorized use of its account or any breach of its credentials.
5. Subscription and Trial
The Service is provided on a subscription basis under the Subscription Plan chosen by the Customer. Unless stated otherwise in the order form, subscriptions renew automatically for the same period unless either party gives notice of non-renewal before the end of the current term.
IONSIS may offer a free trial or demo account. Trial accounts are provided "as is" for evaluation only, may be limited in features and duration, and may be deleted together with their data at the end of the trial period. The Customer should not enter live business data into a trial account unless it has exported a copy.
6. Fees, Payment and Taxes
The Customer shall pay the fees set out in the order form or on the Service, in advance for each billing period. Fees are exclusive of VAT and other applicable taxes, which are payable by the Customer.
If any amount remains unpaid 15 (fifteen) days after its due date and after written notice to the Customer, IONSIS may suspend access to the Service until payment is received. Suspension does not relieve the Customer of its payment obligations. Late payments may bear default interest at the rate permitted by applicable law.
IONSIS may change its fees with effect from the next renewal term by giving at least 30 (thirty) days' prior notice. Fees already paid are non-refundable, including for unused periods, unless otherwise required by mandatory law or agreed in writing.
7. Ownership of Customer Data
The Customer retains all rights to Customer Data. The Customer grants IONSIS a limited, non-exclusive right to host, store, copy, transmit and process Customer Data only as needed to provide, maintain, secure and support the Service and to comply with law.
The Customer is solely responsible for the accuracy, quality, legality and integrity of Customer Data, and for having all rights and permissions needed to enter it into the Service.
8. Protection of Personal Data
For personal data contained in Customer Data, the Customer is the data controller and IONSIS acts as a data processor within the meaning of the Personal Data Protection Law No. 6698 ("KVKK"). The Customer is responsible for informing data subjects, establishing a lawful basis for processing and, where required, obtaining explicit consent. IONSIS processes such personal data only on the Customer's instructions and for the purpose of providing the Service.
If IONSIS becomes aware of a personal data breach affecting Customer Data, it will notify the Customer without undue delay and provide the information reasonably available to it, so that the Customer can meet its own obligations under KVKK Article 12. Personal data that IONSIS processes as a data controller, such as account and billing contacts, is described in the KVKK Information Notice.
9. Security Measures
IONSIS takes technical and administrative measures that are reasonable for a cloud service of this type to protect Customer Data against unauthorized access, loss and alteration. These include encrypted connections, access controls, logging and the use of professional hosting infrastructure.
The Customer acknowledges that no method of transmission over the internet or of electronic storage is completely secure. IONSIS does not warrant that the Service, or Customer Data stored in it, will be free from all unauthorized access, cyberattacks, errors or loss.
10. Backups Made by IONSIS
IONSIS makes periodic backups of the Service's systems, at intervals and with retention periods that it determines. These backups exist to restore the platform as a whole after a technical failure or disaster. They are not an archive service for the Customer and are not designed to restore an individual Customer's data to a specific point in time.
IONSIS does not guarantee that any backup will be complete, current, error-free or restorable. Where the Customer asks IONSIS to restore data deleted or changed by the Customer or its Authorized Users, IONSIS may do so on a reasonable-efforts basis and may charge for this work.
11. Customer's Obligation to Back Up Its Data
The Customer remains solely responsible for maintaining its own independent backups of Customer Data. IONSIS's backups do not replace, and do not relieve the Customer of, this obligation.
The Service includes a Backup Function that allows the Customer to download a copy of its database.
The Customer shall:
- use the Backup Function regularly, at least once a week, and more often where the volume or importance of its data requires;
- take an additional backup before any bulk import, bulk deletion, data migration, period closing or change to an integration;
- store backup copies in a secure location outside the Service, under the Customer's own control; and
- check periodically that its backup copies are complete and can be opened.
If the Customer fails to take, keep or verify its own backups, it bears all consequences of any loss, corruption or unavailability of Customer Data that a current backup would have prevented or reduced.
12. Data Loss
To the extent permitted by law, IONSIS is not liable for any loss, deletion, corruption or alteration of Customer Data that results from:
- actions or omissions of the Customer, its Authorized Users or anyone using their credentials, including accidental deletion and incorrect data entry;
- the Customer's failure to comply with Section 11;
- Third-Party Services, integrations, imports or files provided by the Customer;
- malware, viruses or security weaknesses on the Customer's devices, networks or systems;
- failures of the internet, telecommunications networks or hosting providers outside IONSIS's reasonable control; or
- force majeure events described in Section 24.
If Customer Data is lost or corrupted due to a failure of the Service attributable to IONSIS, IONSIS's sole obligation is to use commercially reasonable efforts to restore the data from the most recent available IONSIS backup, subject to Section 22.
13. Unauthorized Access and Data Theft
IONSIS is not liable for unauthorized access to, disclosure of, or theft of Customer Data that results from:
- disclosure, loss, theft or weak protection of the Customer's or its Authorized Users' credentials;
- phishing, social engineering or malware targeting the Customer or its Authorized Users;
- intentional or negligent acts of the Customer's current or former employees, contractors or Authorized Users;
- the Customer's failure to revoke access, enable available security features or follow IONSIS's security recommendations;
- Third-Party Services connected by the Customer; or
- cyberattacks or other criminal acts by third parties, where IONSIS had taken the security measures described in Section 9.
The Customer must report any suspected security incident to IONSIS immediately and cooperate with IONSIS in investigating and containing it.
14. Statutory Record-Keeping
The Service is a tool to help the Customer manage its business records. It does not take over the Customer's legal obligations. The Customer remains solely responsible for keeping its commercial books, accounting records, invoices and other documents for the periods required by the Turkish Commercial Code No. 6102, the Tax Procedure Law No. 213 and other applicable legislation, and for keeping its own copies of such records independently of the Service.
15. Service Availability and Maintenance
IONSIS uses reasonable efforts to keep the Service available. Unless a separate service level agreement is signed, IONSIS does not guarantee any specific uptime, response time or uninterrupted operation. IONSIS will announce planned maintenance in advance where reasonably possible, and may carry out urgent maintenance without notice to protect the security or stability of the Service.
IONSIS may update, change or discontinue features of the Service from time to time, provided that the core functionality of the Customer's Subscription Plan is not materially reduced during the current term.
16. Third-Party Services
The Service may connect to Third-Party Services, including e-invoice, e-archive and e-waybill integrators, banks, payment providers and marketplaces. These services are provided under their own terms, and the Customer's use of them is a matter between the Customer and the relevant provider. IONSIS is not responsible for the availability, accuracy, security or legal compliance of Third-Party Services, or for any data loss, delay or error caused by them.
17. Intellectual Property
The Service, including its software, source code, databases, design, interfaces, documentation, trademarks and all updates, is owned by IONSIS or its licensors. Subject to payment of fees and compliance with these Terms, IONSIS grants the Customer a non-exclusive, non-transferable right to use the Service for its internal business purposes during the subscription term. No other rights are granted.
18. Acceptable Use
The Customer and its Authorized Users shall not:
- use the Service for any unlawful, fraudulent or harmful purpose;
- copy, modify, reverse engineer, decompile or create derivative works of the Service;
- attempt to gain unauthorized access to the Service, other customers' data or IONSIS's systems;
- test the vulnerability of the Service, or upload malware or harmful code;
- resell, sublicense or provide the Service to third parties without IONSIS's written consent; or
- place an unreasonable load on the Service through automated tools or excessive requests.
19. Confidentiality
Each party shall keep confidential any non-public information received from the other party in connection with the Service. It shall use that information only to perform these Terms. This obligation does not apply to information that is public, already lawfully known, or required to be disclosed by law or by a competent authority.
20. Term, Suspension and Termination
These Terms remain in force for as long as the Customer uses the Service. Either party may terminate the subscription at the end of the current term by giving notice before renewal. IONSIS may suspend or terminate the Service immediately if the Customer materially breaches these Terms, fails to pay fees as described in Section 6, or uses the Service in a way that threatens its security or other customers.
After termination, the Customer may export its Customer Data for 30 (thirty) days. After this period, IONSIS may permanently delete all Customer Data, including from its backups, without further notice. It is the Customer's responsibility to export its data before the end of this period.
21. Disclaimer of Warranties
To the extent permitted by law, the Service is provided "as is" and "as available". IONSIS does not warrant that the Service will meet all of the Customer's requirements, be free of errors, or produce results suitable for any particular legal, tax or accounting purpose. The Customer is responsible for checking the accuracy of reports, calculations and documents generated by the Service before relying on them.
22. Limitation of Liability
To the maximum extent permitted by law, IONSIS shall not be liable for any indirect, incidental, special or consequential damages. This includes loss of profit, revenue, business, goodwill or data, business interruption, and costs of reconstructing data or obtaining substitute services, even if IONSIS was advised of the possibility of such damages.
IONSIS's total liability arising out of or relating to the Service or these Terms, under any theory of liability, shall not exceed the fees actually paid by the Customer to IONSIS in the 12 (twelve) months before the event giving rise to the claim.
Nothing in these Terms limits liability for gross negligence or wilful misconduct, or any other liability that cannot be excluded under mandatory law, including Article 115 of the Turkish Code of Obligations No. 6098.
23. Indemnification
The Customer shall indemnify IONSIS against all claims, losses, fines and costs, including reasonable legal fees, arising from Customer Data, the Customer's breach of these Terms or applicable law, or the acts of its Authorized Users.
24. Force Majeure
Neither party is liable for failure or delay caused by events beyond its reasonable control. Such events include natural disasters, epidemics, war, terrorism, strikes, government actions, power or internet outages, failures of hosting or telecommunications providers, and large-scale cyberattacks. Payment obligations are not affected by force majeure.
25. Evidence Agreement
The parties agree that IONSIS's electronic records, system logs, database and server records shall constitute binding and conclusive evidence in any dispute arising from these Terms, within the meaning of Article 193 of the Code of Civil Procedure No. 6100.
26. Changes to These Terms
IONSIS may amend these Terms. Material changes will be notified to the Customer by email or through the Service at least 30 (thirty) days before they take effect. If the Customer continues to use the Service after that date, it is deemed to have accepted the changes. The current version is always available at ionsis.com.
27. Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of Türkiye. The Courts and Enforcement Offices of Denizli have exclusive jurisdiction over any dispute arising from these Terms.
28. General Provisions
These Terms, together with any order form and the documents referred to in them, form the entire agreement between the parties on their subject matter. If any provision is found invalid, the remaining provisions remain in force. The Customer may not assign its rights under these Terms without IONSIS's prior written consent. These Terms are issued in Turkish and English. If the two versions conflict, the Turkish version prevails.
